Paralegal on a 12-months fixed-term contract F/M

Reporting to the Legal Department, you will work on a broad range of matters covering corporate governance, compliance, and legal support to internal teams.

Activities

1. Corporate Governance and Document Management

• Organization and follow-up of Shareholders’ Meetings and Board of Directors’ meetings
• Preparation of documents related to financial closing, including:
  • annual and half-year financial reports
  • related-party agreements
  • draft resolutions for Shareholders’ Meetings
• Management of powers of attorney and preparation of documents related to corporate bodies
• Amendments and updates to the company’s articles of association
• Preparation and follow-up of corporate legal filings with relevant administrative authorities
• Updating and maintaining Board databases and data rooms
• Updating and maintaining corporate legal registers

2. Compliance and Capital Markets

• Management and update of insider lists (InsiderLog)
• Management and follow-up of employee shareholding plans

3. Contract Management and Internal Legal Support

• Review, drafting, and negotiation of Non-Disclosure Agreements (NDAs)
• Review and drafting of simple contracts for support functions
• Management of intra-group agreements
• Support for the contract database
• Management of insurance policies and claims in coordination with the insurance broker
• Management and update of delegations of authority and signature

Profile

• Bachelor’s degree (minimum) in Business Law or Corporate Law
• Minimum 5 years of experience within a legal department or a law firm
• Solid knowledge of corporate law for listed companies
• Fluent English and French (written and spoken) required
• Strong organizational skills, prioritization ability, analytical and synthesis skills
• Pragmatic, autonomous, with strong interpersonal skills
