ABOUT THE ROLE

You will join the Data4 Group as corporate legal counsel intern. You will be supervised by the Group Corporate Legal Counsel, working closely with the legal department and finance department.

Responsabilities as a corporate legal apprentice

  • Planning and animating the legal secretariat of the Group's subsidiaries in all jurisdictions: you will be responsible for updating the legal organisation chart, managing the calendar of formalities, monitoring the keeping of registers, monitoring relations with external formalists and lawyers, drafting templates.
  • Drafting and support for the approval of accounts in all jurisdictions (timetables, audits of consolidated and statutory accounts, drafting and review of all corporate documentation, related parties agreements and recapitalisation requirements), in collaboration with the local financial controllers and statutory auditors.
  • Drafting and support for the preparation of the board of directors and shareholders meetings.
  • Drafting and support for all corporate operations (incorporation, dissolution, various changes to governance, shareholding or bylaws, operations on the share capital, guarantees).
  • Support in development/ M&A activities.
  • Support to refinancing activities (external and intragroup financing, KYC).
  • Updating the internal corporate legal dataroom.
  • Support for DoA and PoAs drafting and implementation based on the Group matrix of delegations.

About your future manager

Doriane joined the Data 4 Group in 2023 as Group Corporate Legal Counsel, after gaining valuable experience as corporate/M&A in-house counsel and as an M&A/Private Equity attorney. She specializes in corporate law, M&A and financing law, working in multiple jurisdictions. With experience working in Germany and holding a Master’s degree in European Business Law, she brings a global perspective to the Data 4 Group challenges.

Her expertise in corporate legal matters makes her an ideal mentor for your internship. She has experience supervising legal interns, and her practical knowledge in corporate law, M&A and financing law will help you develop essential skills for your future career, while contributing meaningfully to the Data4 Group.

Requirements

Experience: You have prior legal internship experience either in law firm or in-house, with a strong interest in corporate law. Notions of financing law, tax law or Luxembourg would be a plus.

  • Academic Background: You are in the final year of your master's degree in French business law or preparing the CRFPA or a student at a lawyers school (école de formation du barreau).
  • Attributes: You are rigorous with a strong attention to details and well organised, with excellent writing skills and the ability to analyse, synthesize and to adapt quickly.
  • Curious mindset: You are willing to learn and to put in practice what you have studied and/or already experienced.
  • Communication: You have strong written and verbal communication skills in both French and English and are comfortable in evolving into a multicultural environment. An additional third language (Italian, Spanish, German, Polish or Greek) is a plus.
