Intern, TAX M&A Paris
Start date: January 2027 (6 months)
Location: Paris, France
The Team
Alvarez & Marsal’s Tax & Law practice in Paris operates at the heart of major market transactions, notably in transactional tax and acquisition structuring. The team distinguishes itself through a distinctly transactional and operational approach, working closely with A&M's M&A, Private Equity, Restructuring and Transaction Advisory teams. Free from audit‑related conflicts, we advise investment funds, large listed groups, financial institutions and family offices with complete independence and a strong results‑driven culture. The Paris office is growing and recruiting final‑year interns and junior profiles to support its expansion.
How You Will Contribute
As part of the Corporate and Transactional Tax team, you will be actively involved in ongoing matters alongside partners and senior associates. You will contribute across corporate, international and transactional tax workstreams, producing rigorous analyses and client‑ready deliverables. Success will be measured by the quality and timeliness of your outputs, your ability to collaborate in a multidisciplinary environment and your contribution to client engagements and knowledge development.
Transactional Tax Advisory (M&A / Private Equity): participate in acquisition audits (tax due diligence) for LBO funds and strategic acquirers; analyse acquisition and financing structures (SPAs, shareholders' agreements, earn‑outs) from a tax perspective; structure and review LBO, M&A, co‑investment, joint venture and asset disposal transactions; draft tax memoranda and advisory notes for clients.
Corporate Tax: advise on corporate direct taxation matters (tax consolidation regimes, provisions, transfer pricing); monitor intra‑group financing issues (thin capitalization, ATAD, interest deductibility); analyse tax consequences of internal restructurings (contributions, mergers, demergers, universal transfers of assets).
International Tax: conduct research and draft analyses on international tax law issues (tax treaties, withholding taxes); assist with matters involving cross‑border structures (Europe, North America, Asia, Middle East).
Firm life: produce analytical materials (presentations, monitoring notes); interact directly with cross‑functional A&M teams.
Qualifications
Education: Master’s degree (Master 2) in Tax Law or equivalent; admitted to the bar school or holder of the CAPA; dual degree in law/business or law/finance is a plus.
Experience: at least one significant internship (minimum 3 months) in corporate tax within a tax law firm, in‑house tax department of a large group or audit firm (Big 4 – tax department); experience in a transactional department (M&A, Private Equity, Financing) or investment banking is a strong asset.
Skills: strong command of French tax law (corporate income tax, VAT, restructurings, transfer pricing); ability to draft clear and structured tax analyses in French and English; fluent English; strong organisational skills, team spirit, excellent interpersonal skills and comfort in fast‑paced environments.
