Conducting its business as a trusted partner for more than 45 years, Pluxee is committed to creating a positive impact on all its stakeholders, from driving business to local communities, to supporting wellbeing at work for employees while protecting the planet.**** **Your next challenge**In the context of the growth of the Group legal department following Pluxee’s spin-off and listing on Euronext Paris, Pluxee’s Corporate and Securities Legal Department is looking to recruit a **Corporate Legal Counsel**, reporting to the Head of Corporate & Securities Legal Dpt.**Main tasks:**Under the leadership of the Head of Corporate & Securities Legal, and based at the headquarters nearby Paris, you will participate to the provision of legal support (structuring, drafting, advising, monitoring) in company law and strategic transactions, working closely with other Group departments (Group Finance, Accounting, Tax, Operations, Treasury) and the Head of Legal and Company Secretary, in particular:* Manage the housekeeping of the company Pluxee N.

V. with the support of outside legal counsels.

• Contribute to compliance with Pluxee’s obligations as a company incorporated in the Netherlands listed on Euronext Paris and subject to financial regulations in some countries.
• Contribute to the preparation the Annual General Meeting of shareholders.
• Contribute to the drafting of Pluxee’s annual and market reports, and the disclosure of regulated information.
• Contribute to the structuring and implementation of long-term incentive plans (via restricted shares), share buyback program, employee shareholding plans and any other corporate and legal reorganization transactions.
• Contribute to the preparation of the legal documentation for the Board of Directors and its Committees, and for the Annual Shareholders General Meeting.
• Contribute to the oversight of a portfolio of approximately 70 subsidiaries in ca 30 countries (using Dili trust as entity management solution), of Parent Company Guarantees, of Delegations of Authorities.
• Contribute to the management of relevant policies, processes, guidelines, templates, trainings and best practices (in areas such as insider trading, corporate governance, delegations, corporate contracts, corporate housekeeping).
• Contribute to various missions of the Legal Department based on your skills and development preferences.**
• You’re a match***
• Bachelor’s degree in law obtained from a French university.* + 5 years’ experience in legal work in a corporate international environment, with knowledge of the stock exchange regulations. Successful experience in this position as Corporate Legal Counsel may enable you to develop yourself professionally within the Pluxee Group Legal Department
• An additional experience in the context of cross-border reorganizations or M&A projects. would be a plus.).
• Excellent spoken and written skills in English and French.
• An additional degree obtained from a Dutch university or in an English-speaking country andor proficiency in Dutch, will be a plus.
• You are rigorous, autonomous, and organized; you have good writing and interpersonal skills. Reactive, you enjoy working in a team and have a high standard of ethics, as well as the ability to work in a multinational environment.***** **Your team***
