Manager / Assistant Director, Transaction Advisory Group (Sales and Purchase Agreement (SPA) Services)

About the SPA Team

The EMEA SPA team is part of the largest Transaction Advisory Group practice outside the Big‑Four. Members work across EMEA to provide comprehensive SPA support throughout the mergers and acquisitions lifecycle, from negotiation to deal closure.

Responsibilities

• Pre‑Closing : Provide expert advice on the SPA prior to signing, including strategic analysis of pricing mechanisms, identification of key cash and debt‑like items, and preparation of completion mechanism memos. Advise buyers and sellers in negotiating adjustments between Enterprise Value and Equity Value and develop compelling arguments for the negotiation.
• Post‑Closing : Assist buyers or sellers with price‑adjustment mechanisms such as completion accounts, earn‑out accounts or leakage reviews. Ensure value is protected or generated through effective execution of the SPA provisions.
• Client Management : Build and maintain strong relationships with clients, delivering tailored solutions related to the purchase price and SPA.
• Collaboration : Work closely with other departments to ensure comprehensive service delivery.

How You Will Contribute

• Provide expert advice on the financial and strategic implications of sale and purchase agreements.
• Conduct thorough due diligence to identify potential risks and opportunities on the transaction price.
• Support clients in negotiating financial terms and conditions of the purchase price and SPAs.
• Perform detailed financial analysis and testing to support transaction and purchase price decisions.

Qualifications

• Proven experience in SPA advisory.
• Excellent writing and language ability to comment on SPAs.
• Strong communication and interpersonal skills.
• Ability to work effectively in a fast‑paced, dynamic environment.
• Strong academic record and professional qualifications such as ICAEW, ACA, CPA, or equivalent (preferred).
• Fluent business‑level English and French; additional European languages (German, Dutch, Swedish, Italian, Spanish) are highly desirable.
