The role: Founding Lawyer - Banking & Finance
You're the founding partner who builds and owns our banking and finance practice. You run the financing side of complex deals end to end, from LBO and acquisition finance to private credit and unitranche, refinancings, restructurings and security packages, bringing the senior judgment that lets a deal go out the door with your name on it. As a founding partner, you shape how the practice runs, how the firm grows, and how AI does the heavy lifting while you do the signing-off.
What you'll do
- Own the financing workstream on complex transactions - LBOs and private equity deals, acquisition finance, venture debt and growth facilities, refinancings and restructurings - as the signing-off partner, on both borrower/sponsor and lender side.
- Draft, review and negotiate facility agreements, term sheets, intercreditor and subordination arrangements, guarantees and security documents, and the finance provisions of transaction documentation, across senior, second-lien, mezzanine, unitranche and high-yield structures.
- Handle the execution mechanics that make a closing work: corporate benefit and financial assistance analysis, conditions precedent, funds flow, perfection of security and closing logistics.
- Provide senior-level sign-off on financing structures and risk, building on AI-generated drafts and analyses.
- Turn every matter into reusable platform assets: encoded playbooks, model documents, negotiation positions and review checklists that compound the firm's edge.
- Help shape the firm's direction, culture, and growth as a founding member of the partnership.
Qualifications and requirements
- Qualified to practice as a lawyer.
- Minimum 7 years of post-qualification experience in banking and finance - leveraged and acquisition finance, private credit, syndicated lending - with hands-on deal experience.
- Strong drafting reflexes, a bias to action, and the standing to serve as the senior signing authority. xzewmjt
