A top-10 AmLaw firm is seeking a seasoned Of Counsel to join its Projects & Energy group, with a focus on energy transition financing. This is a key role supporting sophisticated transactions in a cutting-edge practice advising on renewable energy project development, tax equity, and related M&A across the U.S. and internationally.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in the relevant jurisdiction, in good standing.
- 9+ years of substantive experience in energy transition financing.
- Substantial experience handling project finance, M&A, and tax credit monetization (e.g., tax equity) for renewables or clean energy projects.
- Deep familiarity with federal incentive structures and the evolving legal landscape of clean energy financing.
- Proven ability to independently lead transactions, interact with clients, and mentor junior team members.
- Comfortable in a fast-paced, client-facing environment with sophisticated institutional clients.
- Interest in sustainability and innovation within the energy and infrastructure space.
- AmLaw Experience: Relevant experience at an AmLaw 100 firm is strongly .

Key Responsibilities
- Lead and manage transactions related to the financing, acquisition, and development of energy transition projects and platforms.
- Advise clients on tax equity structures, investment vehicles, and renewable energy credits.
- Draft and negotiate key financing documents and conduct related diligence.
- Collaborate with multidisciplinary teams (e.g., tax, environmental, regulatory) to structure and close complex deals.
- Stay current with evolving energy policy and regulatory changes impacting project finance.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $450,000 – $550,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
