M&A Managing Consultant – Technical Due Diligence
Role Overview
As a Managing Consultant – Technical Due Diligence & M&A, you will support financial investors, infrastructure companies, and energy firms through the entire transaction cycle. You will lead technical and ESG/EHS evaluation of buy‑side, sell‑side, and project finance transactions, identify risks and opportunities, and coordinate deliverables. Based in Paris (or Lyon), you will work closely with partners, directors, and interdisciplinary teams in Climate, Sustainability, Transactions, and Low Carbon Solutions.
Responsibilities
- Conduct and lead technical due diligence mandates within M&A, acquisitions, and financing processes.
- Evaluate technical, operational, commercial, and economic aspects of infrastructure and energy assets (e.g., asset condition, performance, Opex/Capex, management concepts, business plans).
- Identify, assess, and present transaction‑relevant risks and opportunities, including deal breakers, value creation potential, integration and optimisation approaches.
- Manage and coordinate typical transaction deliverables such as Q&A processes, data‑room reviews, management interviews, site visits, investor workshops, and due diligence reports.
- Collaborate internally and with external subject‑matter experts for integrated technical, ESG, and commercial evaluation of target companies and projects.
- Support proposal preparation, scope definition, time and cost calculations, and contract drafting in the transaction context.
- Actively participate in the development and expansion of Infrastructure and M&A Services.
Qualifications (Essential)
- Completed technical or engineering degree (e.g., mechanical, electrical, civil, chemical, industrial).
- Several years of professional experience in technical consulting, engineering, asset management, or operation of infrastructure/energy projects.
- Experience in due diligence, transaction‑related, or M&A projects with an understanding of technical, commercial, and economic value drivers.
- Excellent analytical skills and experience evaluating technical documentation, site visits, and management discussions.
- Strong organisational, communication, and project‑management skills in dynamic transaction environments.
- Strong client‑ and internally‑facing communication skills; experience managing multiple stakeholders.
- Ability to manage or assist with complex project delivery and coordinate junior consultants.
- Excellent written and spoken in the local language (native) and English.
Desirable
- Prior experience in technical and EHS due diligence, transaction advisory, corporate finance, or M&A consulting.
- Strong understanding of due diligence processes, valuation, financial concepts & modelling, value creation & transformation, and integration methodologies.
- Experience in renewable energy, power, fuels and chemicals, grid infrastructure, water & waste, industry, transportation, digital, or social infrastructure.
- International project experience and additional foreign languages.
- Interest in domestic travel for site visits within continental Europe.
- Experience managing Capex and Opex for development projects or operating assets, supporting business case preparation and budgeting.
- Good knowledge of French Environmental and EHS legislation; international EHS standards considered an advantage.
- Prior training or education in EHS assessment, regulation, or sustainability disciplines (ESG)/carbon sector.
