Who We Are

As part of SEM Legal & Ethics community, the Gas‑Power‑Trading&Giants global team provides legal and regulatory advice with respect to the Energy Management activities originated or managed by the Business Platforms (BPs) based in France and Belgium (those BPs also have desks in Bucharest, Berlin or Madrid).

The team scope encompasses a wide spectrum: the existing gas and power supply portfolio (conventional and green), the transport and storage capacity portfolio in Europe, the emerging low carbon products, supply to Giants customers, physical and financial commodity derivatives, including trading of certificates.

We are looking for a Senior Legal Counsel that will provide general legal support on business development structuration, specific jurisdictional regulatory advice, transactional support, some pre‑dispute management and a general legal advice function, particularly (but not only) to assist the BPs Gas (including green and low carbon gases).

What You Will Do

  • Draft, review and negotiate bespoke and industry based sales and purchase agreements, hedging services contracts, storage and transportation contracts, tolling agreements, intra‑group contracts, energy management contracts, term‑sheets and pre‑transactional documentation
  • Identify and mitigate transactional risks, in particular legal and regulatory risks and ensure that contracts reflect best practices, SEM policy and procedural framework
  • Advice on operational and other events arising during the term of a contract, including force majeure, failure to deliver or take, off‑specification, scheduling and logistics issues, credit support and pre‑disputes
  • Manage the above timely and in a cost‑effective manner with support from external counsel when necessary
  • Develop practice notes to improve skills and know‑how and assist with policy and guidelines formulation
  • Advise on and execute the implementation of the reforms of commercial or energy market regulation in relation to the team scope
  • Work closely with other SEM stakeholders on transactional, regulatory and compliance related matters/issues, and liaise with internal experts for tailored advice when necessary, to ensure common understanding of the commercial and legal requirements of the business

What You Bring

  • Excellent presentation, analytical and drafting skills. In particular, you will have to explain and convey messages about complex legal issues to a variety of stakeholders
  • Demonstrating commercial understanding, good judgment on legal risk decisions and on when to elevate
  • Strong organizational skills and capability of prioritizing
  • Curiosity and autonomy to dive into a large variety of subjects
  • Cooperative and co‑constructive mindset. You will interact with different stakeholders facing operational and business challenges

Your Education And Experience

  • Qualified lawyer under a continental law with 10 years PQE minimum. Being common law qualified or having an LLM from a US or UK university is a plus
  • Strong drafting and oral skills in both French and English. A third European working language is a plus
  • Proven experience in contract negotiation and structuration, preferably in the energy sector
  • Solid understanding of core principles on contracts, and a good grasp of legal, social and political trends that may be relevant to the energy business
