About the Role
Lead Counsel, Corporate & Equity — you will own and lead all corporate legal matters, from day-to-day legal matters, equity transactions, fundraising, M&A to governance and compliance. This is a senior cross-functional role that operates at the intersection of Legal, Strategy and Finance.
Your Team
You will report directly to the CFO, serve as a key member of the leadership team, and be a trusted advisor to the Board. You will work with executives across Finance, HR, and Operations, manage relationships with external counsel, investment banks, and investors, and coordinate cross-functional workstreams for major transactions and fundraises.
What you’ll do
- Corporate & Governance
- Serve as the primary legal advisor on all French corporate matters, including board resolutions, shareholder decisions, and governance documentation
- Own the relationship with external counsel and manage external legal spend effectively
- Equity & Cap Table
- Own and manage the cap table end-to-end, including BSPCE, BSA, stock options, and secondary transactions
- Structure and execute equity grants, ensuring compliance with French tax and corporate law requirements
- Advise employees and leadership on equity mechanics, tax implications, and liquidity events
- Fundraising & M&A
- Lead the legal workstream on future fundraising rounds, from term sheet through closing, coordinating with investors, external counsel, and the CFO
- Support M&A processes including due diligence, structuring, negotiation, and integration from a legal perspective
- Maintain and update the data room and corporate records in preparation for future transactions
- Commercial & Partnerships
- Review and negotiate partnership agreements, vendor contracts, and strategic commercial arrangements, focusing on the French entity
- Work with the US Commercial Counsel and ensure consistency across both entities
- Develop and maintain standard contract templates to improve speed and reduce external legal costs
- Compliance & Risk
- Monitor and ensure compliance with applicable French corporate, employment, and financial regulations
- Identify and proactively manage legal risks across the business, escalating material issues to the CFO and Board
- Support HR on employment law matters, including restructuring, terminations, and executive agreements

- You will ensure Nabla can move fast without exposing legal or financial risk, enabling the clinical impact for thousands of healthcare professionals each week
Qualifications (DNA)
- 5+ years of progressive legal experience, ideally spanning a top-tier law firm (corporate, M&A, or capital markets) and an in-house role at a VC-backed tech company
- Proven track record managing fundraising processes and/or M&A transactions end-to-end
- Deep expertise in French corporate law, equity instruments (BSPCE, BSA), deal documentation, and governance best practices
- Comfortable operating at the intersection of legal and finance, able to read a cap table, model dilution, and engage with CFOs, investors, and investment bankers
- Exceptional communicator, able to distill complex legal and financial concepts for diverse audiences including the Board, employees, and external partners
- Demonstrated ability to manage multiple high-stakes workstreams in a fast-paced, high-growth environment
- High integrity, discretion, and sound commercial judgment
- Bonus: prior experience at a Series B–D SaaS, AI, or healthcare company
