We are recruiting for our client, a multinational with diverse activities, for a permanent position based in Paris.
Within the "Droit des sociétés et M&A" department, you will strengthen the legal expertise of the group's legal department, which supervises legal acts of subsidiaries and partners, and advises operational managers and project leaders on legal operations and external growth projects.
Under the supervision of the Head of the "Droit des sociétés et M&A" department, your main responsibilities will include:
- Corporate Law:
- Manage and assist a portfolio of international companies as a holding lawyer, controlling documents related to corporate law and formalities.
- Model legal documentation (e.g., General Meeting calendars, social record keeping, minutes, share transfer acts, bylaws for unlisted structures).
- Monitor joint ventures and partnerships, organize legal calendars, ensure compliance with obligations, and provide training to general managers and operational staff on commitments.
- Create and update the group's company database and monitor dashboards related to company lifecycle.
- Conduct legal watch, contribute to organizational improvements, and implement proposals for simplification.
- Participate in continuous improvement initiatives for the "Droit des sociétés et M&A" department.
- M&A:
- Assist the legal manager with legal aspects of acquisition and sale projects.
- Participate in project analysis and due diligence.
- Draft and review legal documents such as NDAs, LOIs, SPAs, JVs, TSAs, and ancillary contracts.
- Support closing processes and monitor liability guarantees.
- Contribute to integrating acquired companies according to group standards.
Qualifications: Master's degree in Law (additional qualifications in business or from a foreign university are a plus). Minimum 5 years of experience in corporate law and M&A, in a law firm or international group. Autonomy, good understanding of IT tools, and fluent English are required.
