Corporate/M&A Legal Counsel

• Manage the corporate legal affairs of the Group’s companies across all relevant jurisdictions
• Prepare board meetings, general meetings, shareholder resolutions, annual accounts approvals, amendments to articles of association, changes to corporate officers, delegations of authority and statutory filings
• Assist with the preparation and monitoring of exceptional corporate transactions, including incorporations, dissolutions, internal restructurings, capital transactions, contributions, mergers, universal transfers of assets and liabilities (TUPs), and intra-group disposals
• Prepare, review and coordinate corporate documentation with Finance teams, statutory auditors, corporate formalities providers and external counsel
• Maintain legal organization charts, corporate registers, tracking reports, statutory compliance calendars, corporate mandates, shareholders’ equity records and the corporate data room
• Contribute to monitoring governance rules, delegations of authority and internal approval processes
• Ensure the filing, traceability and retention of corporate legal documentation
• Participate in implementing and monitoring intra-group financing documentation, guarantees and security interests
• Support external financing transactions, including bank financings, acquisition financings and LBO transactions
• Contribute to KYC processes and financing-related post-closing matters
• Support business development and M&A transactions, including drafting documents, due diligence, Q&A, briefing notes and coordination with external counsel
• Participate in drafting, reviewing and monitoring pre-contractual and transactional documents
• Contribute to the post-closing integration of acquired companies or assets
• Participate in cross-functional projects within the Legal department, drafting internal procedures, conducting legal monitoring and formalizing best practices
• Comply with and promote policies relating to certification, hygiene, health and safety, the environment, information security and energy

Requirements

• Advanced degree from a French university in business law, corporate law or financial law
• At least 3 years of experience in Corporate/M&A
• Experience ideally gained at an international law firm
• Exposure to international environments and/or rapidly growing groups
• Strong foundations in French corporate law
• Initial experience in M&A
• Experience ideally supplemented by restructuring transactions
• Exposure to financing transactions or private equity would be an advantage
• Knowledge of or experience in Luxembourg law and investment funds would be a plus
• Full professional proficiency in French and English, both written and spoken
• Ability to draft and review legal documentation in French and English
• Ability to lead cross-functional projects
• Highly rigorous, organized and detail-oriented

• Ability to manage multiple matters concurrently in a demanding, international environment
