Commercial Counsel

A Crypto wallet security infrastructure provider are looking for a Commercial Counsel.

They develop the most secure wallet-as-a-service infrastructure in Web3: an API-first wallet management system, ideal for applications and organizations seeking to provide secure access to all blockchains through a single integration). APIs and SDKs were designed for wallet programmability and efficient implementations, enabling fast deployments, smart automation flows, as well as granular sets of permissions and policies via secure authentication credentials.They are on the way to become the leading wallet infrastructure for the multi-trillion-dollar digital asset industry.

The company is SOC-2 certified, employs 30 people across 6 countries and has raised over $20M since creation with prestigious investors. Their solution is used and trusted by major international corporations.

As the Commercial Counsel you will own and drive all contract-related legal matters at Dfns. You’ll report to the CEO and work closely with Sales, Product, and Operations to support our growth internationally. This is a hands‑on role. You’ll draft, review, and negotiate contracts and NDAs with clients, partners, and vendors, build scalable templates and processes, and ensure we stay compliant with applicable regulations in fintech and blockchain. You’ll help deals close faster while protecting the company’s interests, balancing legal risk with business goals.

Missions

• Draft, review, and negotiate commercial contracts (SaaS agreements, NDAs, MSAs, DPAs, partnership deals, vendor contracts).
• Work closely with sales and product teams to support deal flow and business growth.
• Oversee the legal aspects of the vendor onboarding process, including conducting Know Your Business (KYB) and other due diligence checks.
• Develop and maintain playbooks, templates, and scalable contract processes.
• Advise internal stakeholders on contract risks, obligations, and compliance.
• Ensure alignment with data protection, financial, and crypto regulatory frameworks.
• Collaborate with external counsel when needed and manage workflows efficiently.

Requirements

• 5+ years’ experience in commercial or contracts law, preferably in-house.
• Admitted to practice law in France, EU, or US (multi-jurisdictional expertise a plus).
• Strong track record drafting and negotiating complex B2B commercial agreements.
• Familiarity with SaaS, fintech, or blockchain contracts preferred.
• Excellent communication and stakeholder management skills.
• Pragmatic mindset with the ability to balance speed, risk, and business priorities.
• Familiarity or Experience with SaaS, fintech, financial services and blockchain sectors.
• Familiarity with GDPR and data privacy requirements is a plus too.
• Fluent in English; French is a plus.
• Contract: Permanent role (Hybrid remote) in Paris (France) or other EU countries.
• Remote first company: flexibility to work fully remotely or at an office location of your preference within the European Union.
• Equity: 50-150 stock options (0.1-0.4%) vested over 4 years with a one-year cliff.
