As part of a maternity leave cover within the Global Legal Department, you will join the Corporate/M&A Legal team. Acting as a business partner, you will advise on a broad range of corporate law matters in France and internationally, working with various operational teams, including Finance, Strategy, Senior Management, and the Group’s subsidiaries in France and abroad.

Working closely with local legal advisers, including in-house counsel and foreign law firms, as well as local teams—particularly Finance—you will be responsible for and coordinate the following activities, in line with priorities and deadlines:

• Corporate housekeeping for subsidiaries, including approval of financial statements, amendments to articles of association, corporate appointments, authorisations and related matters; preparation and coordination of board meetings, shareholders’ meetings and corporate documentation.
• Monitoring corporate officer appointments and powers granted by the Group’s corporate bodies.
• Managing exceptional corporate transactions involving foreign subsidiaries, including mergers, capital changes, disposals, incorporations and liquidations.
• Drafting and monitoring intercompany agreements.
• Centralising and monitoring ultimate beneficial owner declarations across the Group.
• Opening, transferring and closing secondary establishments in France.
• Contributing to the Group’s international development projects, including legal feasibility studies and external growth transactions.
• Updating Group databases and organisational charts.
• Contributing to the digitalisation and optimisation of processes, including corporate portfolio management, entity management tools and contract management solutions.
• More broadly, providing operational and strategic advice on corporate law matters.

• Education: Master’s degree in Corporate Law, Business Law, International Law or Contract Law. A dual qualification, such as an LL.M. or DJCE, or admission to the Bar would be an advantage.
• Experience: At least 3 years of initial experience gained within a recognised corporate law firm or the legal department of an international group. Beyond the number of years of experience, we will particularly value your ability to take ownership of matters, provide clear recommendations and work effectively in a demanding international environment.
• Personal qualities / soft skills: You are autonomous, rigorous and proactive, with strong organisational and prioritisation skills. You are recognised for your team spirit, your ability to interact with a wide range of stakeholders in multicultural environments, and your strong client-service mindset. Excellent synthesis skills, responsiveness and a high level of commitment are essential.
• Language skills: Perfect fluency in spoken and written English, including legal English, is essential for daily interactions with foreign subsidiaries and local legal advisers.

This position is based in Neuilly-sur-Seine, France.
