6-month Fixed-Term Contract – Corporate Lawyer

Responsibilities

• Structure and lead a variety of corporate transactions, routine or strategic, including in connection with M&A operations (incorporations, liquidations, restructurings, capital contributions, de-mergers, mergers);
• Draft and negotiate intragroup documentation, notably share transfer agreements and service agreements;
• Ensure proper governance of the Group's French entities: organize board of directors and general meetings, draft minutes and manage associated legal formalities (approval of accounts, governance changes, etc.);
• Coordinate and supervise external counsel and local lawyers in the context of routine transactions;
• Support operational teams by providing pragmatic corporate law advice;
• Contribute to the monitoring of the Group's partnerships and joint ventures, including put/call mechanisms, drafting associated documentation and renegotiating existing agreements…

Requirements

• Advanced legal education such as a Master 2 or DJCE, optionally complemented by a business school or an Institute of Political Studies (IEP).
• 3 to 4 years of solid experience within a Corporate/M&A team in a law firm or in‑house.
• Strong awareness of tax, finance and accounting matters.
• Full professional proficiency in English, both written and spoken, is essential.
• Rigorous and precise, you demonstrate autonomy, commitment, adaptability and excellent team spirit.
• Strong interpersonal skills and team orientation are essential, as is a good understanding of the Group's economic and strategic issues.
