Financial Products - Legal Counsel

You will report to the Head of Legal & Compliance. Your main missions will be:

Key Responsibilities

Partnership and distribution agreements

  • You will negotiate various types of partnership and distribution agreements with distribution partners.
  • Once the agreements are signed, you will be involved in the ongoing supervision of these distributors.

UCITS and AIF regulatory documentation

  • You will be involved in the legal/regulatory design of the investment products that we distribute (mainly UCITS and AIFs).
  • In relation with the asset managers of these products, you will maintain and update the regulatory documentation (i.e. prospectus, KID, PRIIPS) and ensure their regulatory compliance.

UCITS and AIF marketing documentation

  • You will draft the marketing guidelines that our sales and marketing teams will be expected to implement.
  • You will also review and validate the marketing materials related to the UCITS and AIFs that we (or our sub-distributors) distribute.

Who we're looking for

Requirements (must-haves)

  • Academic background: you graduated from a law university or a business school, ideally with a degree in banking and financial law.
  • Experience: you have at least 4 years of experience in the legal department of a fintech or a banking/financial institution or an asset management company or the financial regulation department of a law firm.
  • Knowledge of financial regulation: you have an expert knowledge of the main regulatory frameworks involved in the distribution of financial products (i.e. MiFID/MiFR, UCITS, AIFMD, PRIIPS).
  • Versatility: as one of the first members of our legal team, your role will involve the management of legal/regulatory compliance across several jurisdictions (e.g. in the context of our EU/EEA crossborder distribution) and several regulatory frameworks.
  • Mindset: you’re highly ambitious and eager to be one of the first members of a team striving for excellence.
  • Excellent communication skills: Native French with excellent written skills, and professionally proficient in English.

Nice to have

  • Experience with other regulatory frameworks that are relevant to Spiko (MiCA, anti-money laundering regulation, payment services) is a plus.
  • Experience with DORA and GDPR is also nice to have.
  • Experience in a fast growing fintech start-up environment.
